Terms of Use
Last updated: [DATE]
These Terms of Use (“Terms”) govern your use of Pass the Shift (the “Site”), operated by Discipline Dynamics LLC, a South Carolina limited liability company (“Discipline Dynamics,” “we,” “us”). “Pass the Shift” is a brand of Discipline Dynamics LLC. By using the Site you agree to these Terms. If you do not agree, do not use the Site.
1. Eligibility
- You must be at least 18 years old to use the Site. The Site is not directed to children, and we do not knowingly allow anyone under 13 to use it or collect their information.
- If you use the Site on behalf of a school or employer, you confirm you are authorized to do so.
2. Educational use only — see Disclaimer
The Site provides study guides and AI-assisted study tools for nursing students. It is not medical, nursing-practice, or legal advice, and is not a substitute for your course materials, instructors, preceptors, facility policy, or professional clinical judgment. Our separate Medical & Educational Disclaimer is part of these Terms.
3. Academic integrity
- The tools are for studying and review. You are responsible for following your school’s honor code, syllabus, and AI-use policies.
- Do not submit Site or AI output as your own work, use the Site during quizzes or exams, or use it in any way your instructor or program prohibits.
- If you rely on an idea from the Site, cite the original primary source (e.g., CDC, NIH, your textbook) in the style your course requires (APA 7, AMA, or Chicago). See the Disclaimer for citation guidance.
4. No patient information (PHI)
Do not enter protected health information or anything that could identify a patient (names, dates of birth, medical record numbers, room numbers, photos, rare-case details, etc.). The Site is not a HIPAA-covered service and is not designed to store PHI. We may delete any submission that appears to contain PHI.
5. Acceptable use
You agree not to:
- scrape, crawl, bulk-download, or resell Site content, or bypass rate limits or bot checks;
- upload, paste, or request reproduction of copyrighted textbook pages or other material you do not have rights to;
- attempt to obtain verbatim textbook text, exam items, or NCLEX content in violation of any rights or policies;
- use the Site to harass, to break the law, or to interfere with its security or operation;
- use automated means to generate excessive requests or to extract the underlying AI prompts.
6. Intellectual property
- The Site, its original study guides, design, and the “Pass the Shift” name and logo are owned by us or our licensors. You may view and print materials for your personal, non-commercial study. You may not republish, sell, or distribute them without written permission.
- AI-generated summaries describe topics in original words and are not affiliated with, endorsed by, or a replacement for any textbook or publisher. Textbook titles are referenced only to identify subject matter; all trademarks belong to their owners.
7. Copyright complaints (DMCA)
If you believe content on the Site infringes your copyright, send a notice meeting 17 U.S.C. § 512(c)(3) to our designated agent: [NAME], [ADDRESS], [EMAIL]. We will respond promptly and may terminate repeat infringers’ access.
8. Paid subscription (“Portal”) — applies when launched
- Price. The Portal costs $3.99 per month (plus any applicable tax), unless a different price is shown at checkout.
- Automatic renewal. YOUR SUBSCRIPTION RENEWS AUTOMATICALLY EACH MONTH AND YOUR PAYMENT METHOD WILL BE CHARGED $3.99 (PLUS APPLICABLE TAX) ON EACH RENEWAL DATE UNTIL YOU CANCEL. We will obtain your affirmative consent to these terms before charging you.
- Free trials (if offered): we will disclose the trial length and the date your paid subscription begins; you will be charged unless you cancel before the trial ends. [If trials are offered, send a reminder before conversion.]
- How to cancel. Cancel any time through Account > Billing > Cancel subscription [or link], in at least as few steps as it took to sign up, or by emailing [EMAIL]. Cancellation takes effect at the end of the current billing period; you keep access until then.
- Refunds. Except where required by law, payments are non-refundable and we do not provide partial-month refunds. [Attorney: consider a goodwill refund policy.]
- Renewal notices. For any plan longer than one month (e.g., annual), we will email a renewal notice 30–60 days before the cancellation deadline stating that the plan will renew, the renewal amount, and how to cancel (see S.C. Code § 37-6-120). [Attorney: confirm whether § 37-6-120 reaches monthly plans.]
- Price changes. We will give at least [30] days’ notice by email before any price change, and you can cancel before it takes effect.
- Payments are processed by a third-party processor ([Stripe/other]); we do not store full card numbers. You authorize us and our processor to charge your payment method.
- Receipts and reminders. We will email a confirmation that includes these terms and how to cancel. [Attorney: confirm S.C. Code § 37-6-120 and other states’ auto-renewal laws (e.g., California) for out-of-state subscribers.]
9. Changes and discontinuation
We may update, suspend, or discontinue any part of the Site, including AI tools (for example, when a monthly usage budget is reached). If we discontinue the paid Portal, we will stop future charges [and refund any prepaid unused period]. We may update these Terms; material changes will be posted with a new “Last updated” date [and emailed to subscribers].
10. Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI OUTPUT CAN BE WRONG OR OUT OF DATE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST GRADES, EXAM RESULTS, DATA, OR PROFITS, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $50. Some jurisdictions do not allow certain limitations, so some may not apply to you.
12. Indemnification
You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.
13. Governing law and disputes
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Horry County, South Carolina (or the U.S. District Court for the District of South Carolina), and you consent to their jurisdiction, except that either party may bring an individual claim in small-claims court. [Attorney: decide whether to add arbitration/class-action waiver; weigh cost vs. benefit for a small site.]
14. Miscellaneous
If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These Terms, the Privacy Policy, and the Disclaimer are the entire agreement between you and us about the Site.
